Terms of Service

Acceptance

These Terms of Service ("Terms") govern your access to and use of ArborOne Scheduler(the "Service"), an operations platform operated by ArborOne ("we," "us," "the Company"). By signing in to the Service, you agree to these Terms.

If you are using the Service on behalf of a tree-care company (your "Employer"), you confirm that you have authority to bind your Employer to these Terms, and "you" in these Terms also means your Employer.

Who Can Use the Service

The Service is a B2B back-office tool. Access is restricted to authorized employees of tree-care companies that have been onboarded by ArborOne. Sign-in is gated to allowlisted Google Workspace email domains; you may only access the Service through the account your Employer has authorized for you.

Customers booking an appointment with a tree-care company through a public booking link are not parties to these Terms — their relationship is with the tree-care company, governed by that company's own terms.

Your Account

You are responsible for keeping your sign-in credentials secure. You agree to:

  • Use only the work email account your Employer has authorized for you on the Service.
  • Keep your Google account secure (strong password, two-factor authentication where available).
  • Notify your Employer or ArborOne promptly if you suspect unauthorized access.

You are responsible for all activity that takes place under your account.

Acceptable Use

You agree not to:

  • Access the Service through automated means except as your Employer's normal use of the application requires.
  • Attempt to gain access to data belonging to another tenant or another user, or to bypass the Service's role-based access controls.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service except where applicable law expressly permits.
  • Upload viruses, malware, or other malicious code, or interfere with the operation of the Service.
  • Use the Service to transmit unlawful, defamatory, harassing, or fraudulent content.
  • Use the Service to compete with the Service or to build a substantially similar product.

We may suspend or terminate your access if we determine, in our reasonable judgment, that you have violated these Terms.

Google Calendar Connection

If you connect your Google Calendar to the Service, you authorize the Service to read your calendar's busy/free intervals and to write, update, and remove events on your calendar that the Service creates on your behalf. Details of what we do with that data are described in our Privacy Policy. You may revoke access at any time at myaccount.google.com/permissions.

Customer and Operational Data

The customers, appointments, time blocks, notes, and other operational records that you and your colleagues create in the Service belong to your Employer. ArborOne holds that data on your Employer's behalf and processes it solely to provide the Service.

If your Employer terminates its subscription, we will provide a commercially reasonable export period during which your Employer can retrieve its data, after which the data will be deleted in accordance with our retention practices.

Intellectual Property

The Service, including all software, design, content, and trademarks (including "ArborOne" and "ArborOne Scheduler"), is owned by the Company or its licensors and is protected by intellectual-property law. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose during your Employer's active subscription. We retain all rights not expressly granted.

You retain ownership of any data you submit to the Service. You grant us a non-exclusive license to host, process, and display that data as necessary to provide the Service to you and your Employer.

Service Availability

We work hard to keep the Service available, but we do not guarantee uninterrupted access. We may need to perform maintenance, update software, or temporarily suspend features. We will give reasonable notice of planned interruptions when we can.

Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any data will be accurate or reliable.

Limitation of Liability

To the maximum extent permitted by law, ArborOne and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service. Our total cumulative liability arising out of or related to these Terms or the Service will not exceed the greater of (a) the amount your Employer paid us for the Service in the 12 months before the event giving rise to the liability, or (b) one hundred U.S. dollars.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless ArborOne and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service in violation of these Terms or applicable law.

Termination

Your Employer may remove your access to the Service at any time. We may suspend or terminate your access if you violate these Terms or if your Employer's subscription ends. Sections that by their nature should survive termination (Intellectual Property, Disclaimer, Limitation of Liability, Indemnification, Governing Law) will survive.

Governing Law and Disputes

These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or related to these Terms or the Service will be the state or federal courts located in Rock County, Wisconsin, and you consent to the personal jurisdiction of those courts.

Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with a new "Last updated" date. Material changes will additionally be communicated by email to active users. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
